Terms of Service

By creating a workspace, signing an order form or using the platform you agree to these terms on behalf of yourself and the organisation you represent. Where a signed agreement exists between your organisation and Echelon Labs, that agreement takes precedence over these terms to the extent of any conflict.

Accounts are named and must not be shared. You are responsible for the accuracy of account details, for the acts of users in your workspace, and for keeping credentials confidential. Notify us promptly of any suspected unauthorised access. We may suspend an account where we reasonably believe it has been compromised.

• Self-serve plans are billed in advance and renew automatically for the same period until cancelled.
• Enterprise and Managed Assurance engagements are billed as set out in the order form.
• Prices are in euro and exclude VAT, which is added where applicable.
• Invoices are payable within 30 days. Late payment may lead to suspension after written notice.
• Fees already paid are non-refundable except where the law requires otherwise.

You may not:

• Resell, sublicense or provide the platform as a service to third parties without a practitioner or partner agreement.
• Copy, adapt or reverse engineer the instruments, item banks or scoring logic.
• Use results to make employment decisions about identifiable individuals.
• Upload unlawful content, malware, or personal data you have no lawful basis to process.
• Circumvent usage limits, probe the security of the platform, or interfere with its operation.

The Qognexus™ Framework, the instruments, the platform, the wordmark and all associated materials remain the property of Echelon Labs. Nothing in these terms transfers ownership. Reports generated from your Client Data are yours to use inside your organisation and, for practitioners, with the client they were produced for; the underlying framework and item content may not be extracted or republished.

Practitioner plans include a licence to run the instruments with your own clients, subject to attribution of the Qognexus™ Framework in delivered materials. The licence is limited to the number of active client engagements in your plan and ends when the plan ends.

We warrant that the platform will be provided with reasonable skill and care. The instruments support judgement; they do not replace it, and we give no warranty as to particular outcomes of a change programme.

Neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill. Our total liability in any twelve-month period is limited to the fees paid in that period. Nothing limits liability for fraud, wilful misconduct, death or personal injury, or any liability that cannot lawfully be limited.

Self-serve plans may be cancelled at any time and end at the close of the current billing period. Either party may terminate for material breach that is not cured within 30 days of written notice. On termination your access ends, outstanding fees fall due, and Client Data is available for export for 90 days.

These terms are governed by Dutch law. Disputes are subject to the exclusive jurisdiction of the competent court in Limburg, the Netherlands. We may change these terms with 30 days’ notice to workspace administrators; continued use after that date constitutes acceptance.
